End User License Agreement

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING AMPNEST. By downloading, installing, or using AmpNest, you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, do not download or use the app. This Agreement constitutes a legally binding contract between you and the individual developer of AmpNest ("Developer," "we," "us," or "our").

APPLE IS NOT A PARTY TO THIS AGREEMENT. This Agreement is between you and the Developer only, not Apple Inc. Apple has no obligation whatsoever to provide maintenance or support services with respect to AmpNest. In the event of any failure of AmpNest to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for AmpNest. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to AmpNest.

Subject to your compliance with this Agreement, the Developer grants you a limited, non-exclusive, non-transferable, revocable license to download and use AmpNest on any Apple-branded device that you own or control, solely for your personal, non-commercial purposes, as permitted by the App Store Terms of Service.

2. Subscription Plans and Payments

2.1 Plan Overview

AmpNest offers the following subscription tiers:

2.2 Free Trial

Paid plans include a 14-day free trial for new subscribers. No credit card or payment information is required to begin a trial. You will not be charged if you cancel before the trial period ends. Trial eligibility is determined by Apple and may not be available if you have previously subscribed to AmpNest.

2.3 Billing and Renewal

All payments are processed by Apple Inc. through the App Store. Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. The renewal charge will be confirmed to you before the start of each renewal period. AmpNest never accesses or stores your payment card information.

2.4 Cancellation

You may cancel your subscription at any time through iOS Settings → your Apple ID → Subscriptions → AmpNest. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a subscription period except as required by applicable law or Apple's refund policies.

2.5 Price Changes

We reserve the right to change subscription prices. You will receive advance notice of any price changes through the App Store. Continued use of the Service after the new pricing takes effect constitutes acceptance of the new price.

2.6 Refunds

Refund requests must be submitted directly to Apple at reportaproblem.apple.com. Apple has sole authority over refund decisions for App Store purchases. We are unable to process refunds directly.

3. Tesla Integration

3.1 OAuth Authorization

The Pro and Pro+ plans allow you to authorize AmpNest to access certain Tesla vehicle data via Tesla's official OAuth 2.0 protocol. By connecting your Tesla account, you represent that you are the authorized account holder or have the account holder's permission, and you authorize AmpNest to access the data described in our Privacy Policy.

3.2 Data Accuracy

Vehicle data provided through Tesla's API, including charging session kWh, battery state of charge, and estimated completion times, is sourced directly from Tesla's servers. The Developer does not guarantee the accuracy, completeness, or timeliness of this data. Tesla's API availability and data accuracy are outside the Developer's control.

3.3 Not Affiliated with Tesla

AmpNest is an independent application and is not affiliated with, endorsed by, or sponsored by Tesla, Inc. The use of Tesla's trademarks and API is governed by Tesla's Terms of Service and Developer Agreement.

4. Electricity Rate Data

AmpNest provides electricity rate information based on a manually maintained database of published utility tariffs from providers including but not limited to SCE, PG&E, and ConEd. This data is provided for informational and estimation purposes only.

Rate Disclaimer: Electricity rates shown in AmpNest are estimates only. Actual charges on your utility bill may differ due to applicable taxes, fees, tiered usage adjustments, demand charges, or rate schedule changes that have not yet been reflected in our database. Always refer to your official utility bill for actual charges. AmpNest makes no warranty that rate data is current, complete, or accurate.

5. Charging Spot Booking and Queue System

5.1 Booking Rules

Use of the charging spot booking and queue features is subject to the rules displayed within AmpNest. Key rules include:

5.2 No Guarantee of Spot Availability

AmpNest facilitates coordination between neighbors using shared charging infrastructure. The Developer does not own, operate, or control any charging equipment. We make no guarantee that a charging spot will be available at any particular time, that bookings will be honored by other users, or that the physical equipment will be functional. Any disputes between neighbors regarding charging spot use are solely between the parties involved.

6. Landlord Request Guide (Pro+)

The landlord request guide feature provides general information about EV charging tenant rights in certain U.S. states and generates template request letters for informational purposes only.

Laws vary by jurisdiction and change frequently. You should consult a licensed attorney in your jurisdiction before taking any legal action. The Developer is not responsible for the outcome of any landlord-tenant negotiations or legal proceedings.

7. Disclaimer of Warranties

AMPNEST IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Developer does not warrant that:

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, EVEN IF THE DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.1 Cap on Liability

To the maximum extent permitted by applicable law, the Developer's total cumulative liability to you for any claims arising from or related to this Agreement or your use of AmpNest — whether in contract, tort (including negligence), strict liability, or otherwise — shall not exceed the greater of:

This limitation applies to all claims in aggregate, not per incident. Free-plan users acknowledge that the maximum liability is $0.00, as no subscription fees are paid.

8.2 Essential Basis

You acknowledge that the liability limitations in this Section 8 reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between you and the Developer. The Developer would not provide AmpNest without these limitations. Some jurisdictions do not allow the limitation of certain damages; in such jurisdictions, the Developer's liability is limited to the fullest extent permitted by applicable law.

8.3 Goodwill Compensation Policy

Although we are not legally obligated to do so beyond the limits set forth in Section 8.1, the Developer voluntarily offers the following goodwill compensation as a gesture of good faith when a verified support issue remains unresolved through no fault of the user:

Goodwill compensation amount:

The goodwill compensation amount is calculated as two (2) times your current monthly subscription price, consistent with the liability cap in Section 8.1(b). This is the maximum compensation available under any circumstance and applies per incident, not per month of subscription.

This Goodwill Compensation Policy does not create any legal obligation beyond what is stated in Section 8.1, does not constitute an admission of fault or liability, and is offered solely as a demonstration of our commitment to user satisfaction. Acceptance of goodwill compensation constitutes your full and final release of any claims related to the applicable support issue.

To request goodwill compensation, email ampnest@familymedvault.com with the subject line "Goodwill Compensation Request" and include your account email, a description of the unresolved issue, and the date of your original support request.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Developer from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

10. Intellectual Property

AmpNest and all content, features, and functionality thereof — including but not limited to all text, graphics, logos, icons, images, and software — are owned by the Developer and are protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted no intellectual property rights in AmpNest beyond the limited license in Section 1. All rights not expressly granted are reserved by the Developer.

11. User Content and Conduct

AmpNest allows you to create building profiles and add charging spot information. You represent that any information you submit is accurate and that you have the right to submit it. You agree not to use AmpNest to:

The Developer reserves the right to suspend or terminate your account for violations of these conduct standards without prior notice and without refund.

12. Third-Party Services

AmpNest integrates with third-party services including Tesla's API and Apple's App Store. Your use of these services is governed by their respective terms of service and privacy policies. The Developer has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party services.

13. Privacy

Your use of AmpNest is subject to our Privacy Policy, which is incorporated into this Agreement by reference. By using AmpNest, you consent to the collection, use, and sharing of your information as described in the Privacy Policy, available at the support URL provided to Apple.

14. Term and Termination

This Agreement is effective until terminated. Your rights under this Agreement terminate automatically without notice from the Developer if you fail to comply with any term of this Agreement. Upon termination:

The Developer may also terminate or suspend your access at any time for any reason, including but not limited to violation of this Agreement, with or without notice.

15. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.1 Informal Resolution

Before filing any formal legal action, you agree to contact us at the support email below and attempt to resolve the dispute informally. We will make a good-faith effort to resolve any dispute within 30 days of receiving notice.

15.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to this Agreement or the use of AmpNest shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA) in effect at the time the arbitration is commenced. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND THE DEVELOPER INDIVIDUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW, NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER, AND THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES.

15.4 Exception for Small Claims

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.

16. Compliance with Laws

You represent and warrant that you will use AmpNest in compliance with all applicable local, state, national, and international laws and regulations. You are responsible for ensuring that your use of AmpNest, including use in shared apartment buildings, complies with any applicable lease agreements, building rules, or local ordinances.

17. Miscellaneous

17.1 Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and the Developer with respect to AmpNest and supersedes all prior agreements, representations, and understandings.

17.2 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

17.3 No Waiver

The Developer's failure to enforce any right or provision of this Agreement shall not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer this Agreement or any rights or obligations hereunder without the Developer's prior written consent. The Developer may assign this Agreement without restriction.

17.5 Updates to This Agreement

The Developer reserves the right to modify this Agreement at any time. Material changes will be communicated via in-app notification or email at least 14 days before they take effect. Your continued use of AmpNest after changes take effect constitutes acceptance of the revised Agreement. If you do not agree to the revised Agreement, you must stop using AmpNest and cancel any active subscription.

17.6 Apple Third-Party Beneficiary

You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and that upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

17.7 Export Compliance

You may not use or export AmpNest except as authorized by United States law and the laws of the jurisdiction in which AmpNest was obtained. In particular, but without limitation, AmpNest may not be exported or re-exported into any U.S.-embargoed countries or to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List.
